Terms of use

These terms of use ("Terms") govern access to and use of the TransformRadar web application and related services (the "Service") provided by ThejnValue Best Focus ApS ("we", "us", "our").

By creating an account, starting a trial, or otherwise using the Service, you agree to these Terms on behalf of yourself and the organisation you represent. If you do not agree, do not use the Service.

1. The Service

TransformRadar is a software-as-a-service platform for planning, governing, and delivering projects and programmes of any size. Features may include project workspaces, tasks, risks, stakeholders, steering materials, health assessments, and optional AI-assisted summaries.

We may improve, change, or discontinue parts of the Service from time to time. Where a change materially reduces core functionality you rely on, we will use reasonable efforts to notify organisation administrators in advance.

2. Eligibility and accounts

You must be at least 18 years old and authorised to bind the organisation you register on behalf of. You are responsible for keeping your sign-in credentials secure and for all activity under your account.

Organisation administrators may invite colleagues and assign roles. You must provide accurate registration information and keep it up to date.

3. Free trial, subscriptions, and payment

New organisations may receive a free trial period as shown on our website or during sign-up. When the trial ends, continued full access requires an active paid subscription unless we agree otherwise in writing.

After trial expiry, we may restrict the Service to read-only access for a limited period, and thereafter suspend access until payment is in place. Pricing, billing cycles, and project-based fees are published on our website or in an order form and may change for new subscriptions with reasonable notice.

Fees are exclusive of applicable taxes unless stated otherwise. Invoices are due according to the payment terms shown at checkout or in your billing agreement. Failure to pay may result in suspension or termination.

Payment processing may be handled by a third-party billing provider. By adding a payment method, you authorise us and our billing provider to charge applicable fees.

4. Customer data

"Customer data" means content you or your users upload or create in the Service, including project information, documents, comments, and personal data about your users and stakeholders.

You retain ownership of Customer data. You grant us a limited licence to host, process, back up, and display Customer data solely to provide and secure the Service, comply with law, and as described in our Privacy policy.

You are responsible for ensuring that you have lawful grounds to put Customer data into the Service, including any personal data about third parties such as programme stakeholders.

5. Acceptable use

You agree not to:

  • use the Service in violation of applicable law or third-party rights;
  • attempt to gain unauthorised access to the Service, other accounts, or our infrastructure;
  • introduce malware, interfere with performance, or scrape the Service except through documented APIs we make available;
  • use the Service to store or transmit unlawful, defamatory, or infringing material;
  • reverse engineer the Service except where permitted by mandatory law;
  • resell or provide the Service to third parties except as expressly allowed by your subscription.

6. AI-assisted features

Some features use artificial intelligence to generate summaries, suggestions, or draft content. AI output may be inaccurate or incomplete. You must review AI output before relying on it for governance, reporting, or contractual decisions.

We configure AI processing to use EU-resident or EU-hosted providers where available. Details of processing are described in our Privacy policy.

7. Confidentiality

Each party may receive confidential information from the other. We will treat Customer data as confidential and use it only as permitted by these Terms and our Privacy policy.

You agree not to disclose non-public information about the Service, including pricing offered to you under a specific agreement, except as required by law or with our prior written consent.

8. Intellectual property

We and our licensors own the Service, including software, branding, documentation, and templates we supply. These Terms do not transfer any intellectual property rights to you except the limited right to use the Service during an active subscription or trial.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the Service without obligation to you.

9. Availability and support

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Planned maintenance will, where practicable, be communicated in advance.

Support channels and response targets, if any, are described on our website or in an enterprise agreement.

10. Warranties and liability

The Service is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law.

Subject to the above, our total aggregate liability arising out of or related to the Service or these Terms is limited to the fees paid by your organisation for the Service in the twelve months before the event giving rise to the claim, or EUR 500 if no fees have been paid.

We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity.

11. Suspension and termination

You may stop using the Service at any time. Organisation administrators may request account closure by contacting us.

We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or if continued provision would create legal or security risk. Where reasonable, we will give notice and an opportunity to cure.

Upon termination, your right to access the Service ends. We will delete or return Customer data according to our Privacy policy and any applicable agreement, subject to legal retention requirements.

12. Governing law and disputes

These Terms are governed by the laws of Denmark, excluding conflict-of-law rules. Courts in Copenhagen shall have exclusive jurisdiction, without prejudice to mandatory consumer protections where applicable.

If you use the Service as a consumer in the EU, you may also have rights under mandatory local law.

13. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on our website and update the "Last updated" date. Material changes will be notified to organisation administrators by email or in-product notice where practicable.

Continued use after changes take effect constitutes acceptance of the revised Terms.
